I'm not quite sure of the purpose of the scheme of arrangement but it involves stripping the US subsidiary of its capital and taxed profits (up to AUT) and an election exercisable by shareholders to receive dividends. The scheme was requested by Baytex. Now, whether or not a competing bidder would request such a scheme, I do not know. The explanation will be provided in early April after the first court hearing.
