    Xcel Capital (an unrelated corporation I assume) is to receive a fee for managing the SPP of 6% of the amount raised.
    If they were an underwriter this would be OK.
    The cap raise is a very small - only $500,000 - and not to hard to "manage".
    I will manage the raise for 4% - any good??
