The 12.5M shares issued to GSM are a payment TO THEM for the phase 3 earn-in, they weren't options, they didn't buy them..... it is "US" the share holders/GPP paying them.

As for the 2.6c deemed value, it was agreed to in the original "Heads of Agreement" which was calculated on the 30 day VWAP (2.6c) prior to the agreement being signed.
So on the 20th September 2016, the 30 day VWAP was 2.6c - 17th months later and the share price is 1.5c.
Considering there was still the hype around the CTL/OHD project - hmmmmm
