Correct me if I'm wrong, a Chairman doesn't really spend much time in the day to day of the company. According to Ross Beaty, Chairman of Pan American Silver (PAAS), he went from CEO to Chairman and because of that, he has more time to spend on other businesses. He built a renewable energy company from scratch, sold it and is now Chairman of another new mining company. He did all this while being the chairman of PAAS.
So if a Chairman doesn't spend much time in the day to day of the business, imagine how much time a NED spends on the business? 10 meetings per year?
It looks to me that Rod has left the company and his NED position is there so his name is still in the company.
