According to this article in Wikipedia, it costs 1.5 times the cost of an existing petrol-burning engine to modify it to use hydrogen (although presumably the cost difference would be a lot less to build an engine to burn hydrogen)in the first place.
Being an ICE (C=Combustion) a lot of heat will presumably be generated and thus equates to lost energy. Not sure how much waste heat is produced in a fuel cell...
